CMS Budapest has advised the Invitel Group (Ilford Holding Kft. and Invitel Technocom Távközlési Kft.) on the signing of an agreement for the sale of shares representing 99% of the share capital and voting rights of Invitel Távközlési Zrt. to the Hungarian subsidiary of DIGI Communications. The agreement is subject to certain conditions, including approval by the Hungarian Competition Authority.

Invitel Távközlési Zrt. is part of the Invitel Group and is one of the key operators in the Hungarian telecommunications market with over 20 years’ experience, offering TV, internet and telephone services to residential and small business customers. The EUR 140m transaction is expected to complete in Q1 2018.

Earlier this year CMS Budapest has also assisted in the acquisition of Invitel Group by the China Central and Eastern Europe Investment Co-operation Fund, which is advised by CEE Equity Partners.

The CMS team assisting the Invitel Group was led by Anikó Kircsi, Partner, Head of Corporate/M&A and included Gábor Gelencsér, Senior Counsel from the corporate team. On the competition side, the team was supported by Dóra Petrányi, Partner, Head of Competition and Szabolcs Szendrő, Senior Associate.

Hilton Budapest - New conference facilities in the Castle District of Budapest

Held on 1st June of 2017, the opening ceremony of Hilton Budapest’s Ballroom marked the completion of Phase 3 in the hotel’s comprehensive renovation project. As a result, the first floor of the building now offers a completely renovated Ballroom as well as a modern conference centre satisfying all needs. As far as the interior of the Ballroom and the related conference and meeting rooms were concerned, British design house Goddard & Littlefair was tasked with creating spaces fully in line with the existing image while also meeting the requirements of Hilton Budapest’s elegance and the business sphere. Another important aspect was that the multifunctional rooms may be used in variable size distribution so that they could be suitable for business meetings as well as private events. The renewed Ballroom is a perfect venue for gala dinners, conferences or other events as its 510- sqm size and 600-person capacity meets any demands. Equipped with cutting-edge audiovisual systems such as BOSE audio, professional data transmission devices and high-resolution screens, the Ballroom also has new furniture, curtains and carpets that match the elegance of any high-key event.

In addition to the Ballroom, the grand meeting room, which can be subdivided into three rooms (Endre, Béla, Levente), the separate conference room (Gizella) and four other Boardrooms have all been renewed as well. With a total area of 104 sqms and a capacity for as many as 106 participants, Endre-Béla- Levente meeting rooms are 35 sqms each. The enormous windows of the rooms offer a magnificent view on the Matthias Church. Ideal for meetings with 10 participants, the renovated Boardrooms provide user-friendly, touch-screen- controlled lighting, projector and audio technology along with window shading designed to fully shut out external lights. Owing to the high technology applied, guests can follow each moment of the Ballroom via the 60 inch smart HDTV sets installed in the rooms. With their views on the Parliament or the Dominican yard, the elegant air-conditioned rooms couple comfort with technical solutions.

CMS advises real estate developer ATENOR on the sale of Váci Greens Building A and C

CMS advised the Belgian real estate developer ATENOR on the sale of two buildings in the Váci Greens complex in Budapest. Building A, which was finished in September 2013, contains 15,700 m² of office space, 88% leased to various tenants of repute (General Electric, Sykes, Enterprise, BNP Paribas Real Estate, Budapest Bank), while Building C was completed in June 2015 and comprises 18,500m² office space, fully let to General Electric. 

The Váci Greens complex, started in 2008 by Atenor, includes six Class A office buildings with a total surface area of over 120,000 m². The complex, ideally located in the heart of the highly dynamic Váci Corridor business district has obtained the "BREEAM Excellent" environmental certificate. The investment market has been recently very active in Budapest and various investors demonstrate a strong interest for the purchase of Building B (25,300m², 65% let) of the complex as well.

CMS has advised China CEE Investment Co-operation Fund and CEE Equity Partners on their acquisition of 99.9% of Magyar Telecom B.V.’s holdings in the Invitel Group, including INVITEL Távközlési Zrt., INVITEL Központi Szolgáltatások Zrt., Invitech Megoldások Zrt. and Invitel Technocom Kft.

Invitel Group has an enterprise value of €202 million, and focuses on residential fiber developments and converged B2B IT-telco solutions. The transaction is estimated to complete in the second half of February, upon Competition Authority approval.

Kempinski Hotel Corvinus Budapest introduces its new Ten Rooms concept

Budapest, 18 April 2017 - Kempinski Hotel Corvinus has refurbished the entire first-floor meeting and events area, making its MICE offering the most innovative and unique by introducing the latest technology and design in the local market. Not only has available space-grown, but also creative opportunities! 

The objective was to bring the same quality of contemporary glamour as the recent transformation of the hotel’s public areas. The project has been managed in two phases. The first phase, taking place in summer 2016, saw the ballroom and associated areas benefit from a gentle redesign; phase two, which is on site as of April 2017, involves significant internal reconfiguration of the function rooms as well as new design schemes. Szecskay Attorneys at Law wins Competition Law Firm of the Year

Szecskay Attorneys at Law was awarded the 'Hungarian Competition Law Firm of the Year' award at the first ever Lawyer of the Year Awards to be held in Hungary. The award was founded by Wolters Kluwer in 2016. Winners were announced at the gala ceremony at the end of the year. Szecskay Attorneys at Law won Competition Law Firm of the Year, while the other applicants in this category were CHSH, CMS and Schönherr.  

Dr. András Szecskay, managing partner, and Dr. Anikó Keller, head of the Competition practice, were awarded the trophy for an innovative, tailor-made competition compliance programme that they prepared for a multinational, which proved to be a very effective tool in multiple cases that the company had involving the Hungarian Competition Authority.

CMS Budapest appoints József Várady as new real estate partner

CMS Budapest promoted its senior counsel József Várady to a partner of its real estate group. 

József has been working at CMS Budapest for over 14 years, where he has been involved in several real estate transactions and advised major Hungarian and international clients on real estate projects and litigation matters related to the sector. He also has significant experience in corporate and financing transactions and tax matters. 

„I am delighted to take a partner role within CMS. It is exciting times now in the real estate sector in Hungary and across the region and my priority as the new partner is to help further develop our No.1 real estate practice and keep servicing our clients to the highest standards” – said József Várady.

The appointment is part of the joint partner promotions of CMS, Nabarro and Olswang, involving 48 partners in 26 offices. The three firm have completed their merger on 1st of May, creating the world’s sixth largest law firm by lawyer headcount. CMS Cameron McKenna Nabarro Olswang is now present in 39 countries with 70 offices.

Kinevezték a Budapest Bank új vezérigazgatóját

Budapest, 2017. árpilis 4. – Tóth Viktort, a Budapest Bank eddigi vállalati üzletágvezetőjét bízta meg a vezérigazgatói feladatokkal április 1-től a bank tulajdonosa, miután a korábbi vezérigazgató, Zolnai György március 31-én távozott a pénzintézet éléről. A korábbi vezérigazgatói és elnöki hatáskörök megtartása mellett a tulajdonos április 1-től Dr. Lélfai Koppányt, az MFB vezérigazgató-helyettesét nevezi ki a Budapest Bank igazgatótanácsának elnökévé, aki jelenlegi pozíciója mellett látja majd el az elnöki feladatokat. A tulajdonos a Budapest Bank felügyelőbizottságának elnökévé Bernáth Tamást, a Magyar Fejlesztési Bank elnök-vezérigazgatóját nevezte ki.

Tóth Viktor, a bank eddigi vállalati üzletágvezetője és vezérigazgató-helyettese kapta meg a tulajdonos bizalmát, és megbízott vezérigazgatóként április 1-től irányítja a bankcsoportot. A vezető több mint 25 éves tapasztalattal rendelkezik a bankszektorban, 1998 óta dolgozik a Budapest Bankban, ahol karrierje során mind a vállalati, mind a lakossági üzletágban számos vezetői pozícióban tevékenykedett sikeresen. 2008-tól 2010-ig a bank vállalati üzletágának értékesítési vezetőjeként Tóth Viktornak jelentős szerepe volt a gazdasági kihívásokhoz való sikeres alkalmazkodásban, a vállalati ügyfelek elégedettségének megőrzésében. 2010. május 17-től a Budapest Bank vállalati üzletága, a Budapest Bank Business vezetője volt, vezetése alatt a bank kkv hitelkihelyezése – a csökkenő piaci trendek ellenére – folyamatosan növekedett

CMS’ investigation team in Hungary boosted by the joining of a seasoned senior compliance specialist

Mária Dárdai joined CMS’ Budapest office as Head of Compliance Projects as of 3 October 2016. Prior to her new role, Dárdai used to serve as VP General Counsel, Compliance and Data Privacy Officer of UPC Hungary (Liberty Global) since 2009 following various key positions at ABB Hungary, Magyar Telekom and Nomura. Dárdai not only has vast experience in compliance investigations but she has a deep insight into the Technology, Media and Telecommunications (TMT) sector.

Budapest Airport invites retailers to submit EOI in further elevation of retail proposition

Budapest Airport is calling for ‘expressions of interest’ from retail providers to enter its upcoming tender process for outlets in the heart of the shopping environment in the SkyCourt and Terminal 2A. Spanning some 550m², several new five-year contracts are available in Hungarian souvenirs and fine food, fashion and accessories as well as watches and jewellery in a move to elevate Budapest’s current retail proposition.

Retailers should present EOIs to by indicating the tender number the retailer is interested in. Retailers can bid for one, all or a combination of the offered shops.

Submission deadline as 3 April 2017 COB.

RFP containing all relevant information for preparing the bids will be issued after review of all received EOIs.

CMS strengthens its German capability in Central and Eastern Europe with key hires

CMS is pleased to announce the appointment of Andreas Köhler who joins CMS’ CEE Practice as Partner and Head of CEE German Projects. Andreas will commence his role on 16 March 2017. He brings over 15 years of experience working on region-wide transactions, dispute resolution, commercial and employment matters on behalf of international, in particular, German, Austrian and Swiss clients. Andreas is based in Budapest and will work closely with regional practice and sector heads in the CEE & DACH regions and beyond. 

Andreas joins CMS from Dentons in Budapest where he was head of the Hungarian Corporate and Commercial practice and co-head of the firm’s global German practice.

He is joined by a senior associate and native German and Hungarian speaker, Gabor M. Toth, who will work with the Commercial and German Desk groups at CMS in Budapest.

Dr. Imre Deák has been the Chief Executive Officer at the company group since 2006. In the course of his career, he has first acted as general manager then was elected member of the management. During his assignment as CEO for a decade, the group faced several challenges and he always managed these changes confidently. Danubius Hotels Group managed to stay a strong and compatible company despite the fact that the sector was hit by several crises periods.
